1) About Us and These Terms

These Terms & Conditions (“Terms”) govern your access to and use of www.theibu.org and any membership benefits, events, content, or services we provide (collectively, the “Services”). The Services are offered by Insurance Buyers United (“The IBU,” “we,” “us,” or “our”), located at 1413 Parade Street, Erie, Pennsylvania. By creating an account, purchasing a membership, or using the Services, you agree to these Terms.

2) Eligibility & Account

You must be [18+] and capable of entering a binding contract.

Provide accurate information and keep credentials secure. You are responsible for activity under your account.

We may refuse, suspend, or terminate accounts for policy violations or risk to users or our organization.

3) Memberships, Billing & Auto-Renewal

Plans and Pricing. We offer membership plans (each a “Plan”). Prices may change; we will provide advance notice as required by law.

Billing. By starting a Plan, you authorize us (and our payment processor) to charge your payment method for recurring fees and applicable taxes [on a monthly/annual/other] basis until you cancel.

Auto-Renewal Disclosure. Your membership will automatically renew for successive annual terms at the then-current rate until you cancel. You can cancel at any time as described in Section 5. By purchasing, you acknowledge recurring charges and responsibility for payment until you cancel.

Free Trials/Promos. If offered, trials convert to a paid Plan unless canceled before the trial ends. Eligibility may be limited.

Invoiced/Organization Accounts. If we invoice your organization, payment is due [NET 30] unless otherwise stated.

4) Membership Benefits & Fair Use

Your Plan may include third-party offers. Benefits are for the named member or authorized users of an organizational membership and are non-transferable. We may set reasonable usage limits or update benefits from time to time.

5) Cancellation & Refunds

Cancel Anytime. You may cancel by logging into your account at the link, emailing [email protected], or [using this dedicated webform link]. Cancellations take effect at the end of the current billing period unless stated otherwise.

Refunds.

No refunds. Fees are non-refundable and partially used periods are not credited.

6) Changes to Plans or Terms

We may modify Plans, pricing, or these Terms. For material changes, we will provide [30 days’] notice by email or prominent site notice. Continued use after changes take effect constitutes acceptance.

7) Code of Conduct

Members agree to use the Services lawfully and respectfully. Prohibited conduct includes harassment, discrimination, infringement, unauthorized commercial solicitation, security testing without authorization, and attempts to scrape, reverse engineer, or bypass access controls.

8) Events & Community Spaces

Event attendance (in-person or virtual) may be subject to additional rules posted at registration. We may record events and use recordings for operational and educational purposes. You must follow venue and health/safety policies.

9) Intellectual Property

Our Content. The Services, including content, features, and trademarks (“IBU Content”) are owned by us or our licensors and protected by law. We grant you a limited, revocable, non-transferable license to access and use IBU Content for your personal or authorized organizational use during your membership, subject to these Terms. No resale or redistribution without our written permission.

Your Content (UGC). If you submit content (posts, comments, materials), you retain ownership. You grant The IBU a non-exclusive, worldwide, royalty-free license to host, display, and distribute your content to provide and improve the Services. You represent you have rights to your content and that it does not infringe others’ rights. You may remove your content; cached/backup copies may persist for a limited time.

Feedback. Suggestions are voluntary and may be used without obligation.

10) Third-Party Services

Some features rely on third-party services (e.g., payment processors, analytics, video platforms). Their terms and privacy policies govern their services. We are not responsible for third-party sites or services.

11) Privacy

Your use is subject to our Privacy Policy at [link to privacy policy]. By using the Services, you consent to our data practices as described there. We honor legally required opt-outs and signals as stated in our Privacy Policy.

12) Disclaimers

The Services and all content are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation or that content is accurate, complete, or current.

13) Limitation of Liability

To the fullest extent permitted by law: (a) The IBU will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, revenues, data, goodwill, or business opportunities; and (b) our total liability for any claim arising out of or relating to the Services will not exceed the amounts you paid to The IBU in the 12 months before the claim (or $100 if you have not paid). Some jurisdictions do not allow certain limitations; some rights may not be waived.

14) Indemnification

You agree to defend, indemnify, and hold harmless The IBU and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Services, your content, or your violation of these Terms or law.

15) Suspension & Termination

We may suspend or terminate access (with or without notice) if we believe you violated these Terms, pose a risk, or if required by law. Upon termination, your license ends and you must stop using the Services. Sections that by nature should survive (e.g., IP, payments due, disclaimers, limits, indemnities, dispute resolution) will survive.

16) Dispute Resolution; Governing Law

These Terms are governed by the laws of Pennsylvania, and the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in County, State.

17) Communications; Electronic Consent

You agree to receive service-related communications electronically (email, in-product notices). Consent for marketing emails is optional and can be withdrawn via unsubscribe links.

18) Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control (e.g., internet outages, labor disputes, epidemics, government actions, natural disasters).

19) Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations in connection with a merger, acquisition, or asset transfer.

20) Entire Agreement; Severability; Waiver

These Terms (plus any plan-specific terms and our Privacy Policy) are the entire agreement between you and The IBU regarding the Services. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver.
